The course provides an overview of corporate liability, decision-making and representation, with a particular focus on the first. When are directors held liable for serious mismanagement? Is there still any difference between internal and external liability? Is a release of liability as watertight as the term suggests?

The course will examine recent case law, including the prominent decisions of the Hoge Raad in Geocopter and TMF. When it comes to decision-making and representation, special attention will be given to conflicts of interest. When a conflict of interest arises in the boardroom, this essentially only affects the decisions made; contracts concluded by a conflicted director are without risk. Recently however, it appears from the case law of the lower courts that this rule is not without exceptions. Closely related parties, in particular, should be careful.

Decision-making and representation can be considered the oldest minefields of company law. Even seasoned lawyers must be cautious. In the last decades, directors’ liability has been on the rise. Directors need to defend themselves against claims more often. Fast-emerging case law can deliver unpleasant surprises.  After completing this course, participants will know how to avoid common mistakes.
