Changing supervision: the task and role of the chief executive officer

The Chair of the Supervisory Board plays a pivotal role in the supervision of companies. The Chair ensures that the Board performs well and helps define the strategy. The Chair is also the point of contact as far as the performance of directors and commissioners is concerned, a sounding board for the CEO and lastly, Chair of the general shareholders' meeting. Book 2 of the Dutch Civil Code (BW) contains no specific provisions for the Chair of the Supervisory Board. It is possible to derive some things from the Corporate Governance Code but it does not give a complete picture.
