Caspar Scholten is working on a dissertation with the working title 'Algemene beginselen van behoorlijk bestuur voor kapitaalvennootschappen'.
Proper fulfilment of its duties constitutes the most important commandment for every manager of a Dutch corporation (art. 2:9 lid 1 BW). The answer to the question whether a director has performed his duties properly depends on the circumstances of the case. What qualifies as proper management cannot be captured in concrete rules. Caspar Scholten's research focuses on a framework of legal principles of good governance for Dutch capital companies.
